Welcome to The Rag Company. These Terms of Service ("Terms") govern your access to and use of theragcompany.com, wholesale.theragcompany.com, and any related pages, content, and services (together, the "Site"), and any purchase you make from us.

The Site is owned and operated by CAJE Enterprise, LLC, doing business as The Rag Company ("The Rag Company," "TRC," "we," "us," or "our").

By accessing the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.

These Terms incorporate by reference our Privacy Policy, SMS Terms, Shipping Policy, Returns, Exchanges & Refunds Policy, and Sales & Promotion Restrictions.

You must be at least 18 years old, or the age of majority in your state, to place an order or create an account. By using the Site you represent that you meet this requirement and that all information you provide is accurate and complete.

We currently sell and ship only within the United States, including Alaska, Hawaii, and state-side APO/FPO addresses. We do not ship internationally. If you are outside the U.S., please see our Distributors page to find an authorized reseller in your region.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us at support@theragcompany.com if you believe your account has been accessed without authorization.

We may suspend or terminate any account at our discretion, including for suspected fraud, abuse of promotions, reseller activity that violates these Terms, or violation of any provision below.

We work to describe our products accurately, including colors, weights, GSM ratings, dimensions, and materials. We do not warrant that product descriptions, images, pricing, or other content is complete, current, or error-free. Monitor and screen appearance may cause colors to differ from the physical product.

Product availability is not guaranteed. We may limit quantities, discontinue products, or restrict sales to any person, household, or geographic region at our discretion.

All prices are in U.S. dollars and are subject to change without notice. Applicable sales tax is
calculated at checkout.

Placing an order is an offer to buy. We are not obligated to accept it. We may cancel or refuse
any order for any reason, including:

• Pricing, typographical, or product description errors, whether or not the order has already
  been confirmed and your payment method charged
• Suspected fraud or unauthorized use of a payment method
• Suspected purchase for unauthorized resale
• Quantity limits or promotional abuse
  

If we cancel an order after you have been charged, we will issue a full refund to the original
payment method.

Promotional offers are subject to the terms stated in the offer and to our Sales & Promotion Restrictions. Unless expressly stated, discount codes may not be combined, are not retroactive, may exclude certain brands or clearance items, and may be withdrawn at any time. Codes have no cash value.

We reserve the right to void orders and cancel accounts that abuse promotions, including through code sharing, repeated returns after discounted purchases, or the use of automated tools.

We accept the payment methods displayed at checkout, processed through Shopify and its payment partners. You represent that you are authorized to use the payment method you provide. All payment information is handled by our payment processors, not stored by us. See our Privacy Policy.

Shipping terms, rates, carriers, and processing times are described in our Shipping Policy.

Title and risk of loss pass to you when the carrier takes possession of your package. Once a package is marked delivered to the address you provided, The Rag Company is not responsible for lost, stolen, or misdelivered packages. You are responsible for providing an accurate and complete shipping address at checkout.

Delivery estimates are estimates only. We do not guarantee delivery dates.

Returns and exchanges are governed by our Returns, Exchanges & Refunds Policy. In summary:

• Products may be returned within 30 days of purchase in new, unused, unwashed condition and original packaging
  
• Customers are responsible for return shipping costs; if we provide a prepaid label, the shipping cost is deducted from the refund
• Defective product claims should be directed to support@theragcompany.com or (208) 888-6821
  
• Missing or damaged items must be reported within 10 days of receipt

Read this section carefully. It applies to every product we sell.

Our products include microfiber textiles, chemicals, coatings, compounds, sprayers, polishers, and powered and air-driven tools. You are responsible for using them correctly.

• Read and follow all product labels, safety data sheets (SDS), warnings, and manufacturer instructions before use
• Test any chemical, compound, coating, pad, or towel on an inconspicuous area before full application
• Use appropriate personal protective equipment, including eye and skin protection, and ensure adequate ventilation
• Follow all manufacturer instructions and safety guidance for polishers, air tools, and pressure equipment
• Keep chemicals out of the reach of children and pets

Vehicle finishes, trim, glass, coatings, wraps, paint protection film, and interior surfaces vary widely in age, condition, and prior treatment. Results depend on technique, surface condition, environment, and factors outside our control.

To the fullest extent permitted by law, The Rag Company is not liable for damage to vehicles, paint, coatings, wraps, trim, glass, interiors, tools, equipment, or property, or for personal injury, arising from the use, misuse, or misapplication of any product purchased from us. You assume all risk associated with product use.

Educational content on the Site, including blog articles, how-to guides, videos, TRCMA materials, and social media posts, is provided for general information only. It is not a warranty or a guarantee of results, and it does not replace manufacturer instructions.

Access to wholesale.theragcompany.com is limited to approved business accounts. Wholesale pricing, minimums, terms, and any separate wholesale agreement govern those purchases. Wholesale pricing and product availability are confidential and may not be shared publicly.

Purchasing at retail for the purpose of unauthorized resale, including on third-party marketplaces, is prohibited without our written authorization. We may cancel orders and terminate accounts we believe are engaged in unauthorized resale.

The Site and its contents, including text, graphics, logos, product images, video, blog and educational content, page layouts, and software, are owned by CAJE Enterprise, LLC or its licensors and are protected by U.S. and international intellectual property law.

"The Rag Company," "Helping You Shine Since 1999," "TRC," "TRC ULTRA," "TRCMA," and our logos and product names are trademarks of CAJE Enterprise, LLC. You may not use them without our prior written permission.

You may view and print Site content for personal, non-commercial use. You may not copy, reproduce, republish, scrape, sell, or create derivative works from Site content without our written permission.

If you submit a review, photo, video, comment, testimonial, or other content to us or tag us on social media ("User Content"), you grant The Rag Company a worldwide, non-exclusive, royalty-free, perpetual, transferable, sublicensable license to use, reproduce, modify, display, distribute, and create derivative works from that content for marketing and commercial purposes, in any media, without additional compensation or notice.

You represent that you own or have the rights to the User Content you submit, that it does not infringe anyone's rights, and that any person depicted has consented.

We may remove or refuse to publish any User Content at our discretion. We do not endorse User Content, and it does not reflect our views.

Participation in our Ambassador Program or any affiliate program is governed by the separate terms of that program. Participants must comply with FTC endorsement guidelines and clearly disclose material connections to The Rag Company.

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the Site, accounts, or systems
• Use bots, scrapers, or automated tools to access, monitor, copy, or purchase from the Site
• Interfere with or disrupt the Site or its infrastructure
• Submit false, fraudulent, or misleading information
• Upload viruses, malicious code, or harmful material
• Harass, abuse, or threaten our staff or other users
• Infringe our intellectual property or that of any third party

The Site links to third-party sites and includes products from third-party brands. We do not control and are not responsible for third-party content, policies, products, or practices. Third-party products may carry their own manufacturer warranties, which are administered by that manufacturer. Your dealings with third parties are solely between you and them.

THE SITE AND ALL PRODUCTS AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, THE RAG COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, CAJE ENTERPRISE, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF USE, OR PROPERTY DAMAGE, ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CAJE Enterprise, LLC and its officers, members, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Site, your User Content, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles. Any action arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Ada County, Idaho, and you consent to personal jurisdiction and venue in those courts.

We may update these Terms at any time. The "Last Updated" date at the top reflects the most recent revision. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance. The version of these Terms in effect at the time you place an order governs that order.

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force.

Our failure to enforce any provision is not a waiver of that provision.

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and The Rag Company regarding the Site and supersede any prior agreements.
